Analyse(s) and transformation(s) of the firm: Confrontation between economics, management and law

The firm, which has been for a long time absent from academic debates, is now a central topic in economics and business studies. Two reasons explain this sudden importance.

From the theoretical point of view, numerous analyses on the firm have appeared since the seventies. The initial questions were about the nature of the firm, its boundaries and its internal organization. They are now largely discussed in many academic disciplines. Without any claim to exhaustiveness, it is possible to identify (1) the purely contractual constructions developed in the frame of agency theory, (2) the theories in the prolongation of Coase that are more institutional (transaction costs theory and property rights theory), (3) the evolutionist approaches that were initially built by Nelson and Winter and are included in the competence and resource-based view of the Firm, (4) the "French" conventionalist theory of the firm, (5) the "Austrian" theory of the firm and recently (6) the development of a theory which considers the firm as an entity. The current diversity can appear at the very least surprising. It is even more surprising that each theoretical construction proposes its own definition of the firm and specific explanations concerning firm boundaries and internal organization.

From an empirical point of view, the recent transformations inside and all around the firm are likewise a source of questioning for researchers and this, not only in economics and management, but also in employment law. Concerning the boundaries of the firm, the evolution of subcontracting relationships, the multiplication of cooperation agreements between firms and the development of so-called «network firm» forms make the identification of the firm’s boundaries increasingly difficult. As for internal organization, several mutations concerning for example the employment relationship, quality management or the organization of decision-making powers challenge the researchers on modes of coordination of individual’s actions that prevail within the firms.

This conference, that welcomes researchers who work on the firm, has two aims. On the one hand the ambition is to complete a review of the principal progresses in theoretical analyses of the firm. On the other hand the changes appearing on the firm’s boundaries and within the firm for many years have to be understood. The main matters related to these changes have to be highlighted.

Three main themes can be identified, one is largely theoretical and the two others are more empirical.

Theme 1 : Diversity and Evolution of the theories of the firm

The contributions on this theme will deal with the controversial theoretical questions in economics and management that are at the origin of the analysis of the firm. Several fundamental questions on theories of the firm will be addressed: what is a firm? What are the boundaries of a firm? What are its specific coordination mechanisms? Is the market-hierarchy opposition relevant to the comprehension of the firm? Why are there currently so many theories of the firm? Would a synthesis be possible/desirable? Are theories of the firm complementary or substitutable?

Theme 2 : The question of the boundaries of the firm

The purpose is to focus on each discipline’s way of analyzing and explaining recent mutations that affect «traditional» firm boundaries. Empirical contributions and international comparisons will be particularly welcomed on this theme. They could deal with several themes including for example recent vertical integration/disintegration evolutions, development of so-called hybrid modes of coordination, firm strategies for sale and purchase, complex evolution of customers/suppliers relationships, etc… How can these evolutions be explained? Which economic theories best suited for analyzing them? Is the firm being emptied? How can inter-firm coordination mechanisms be analyzed? How can employment law apprehend these mutations, and more particularly the employment contracts/commercial contracts confounding?

Theme 3 : The question of the internal organization of the firm

This theme is concerned with internal firm transformation that finds its root in the end of the seventies. Empirical contributions are also welcomed. An important evolution can be noticed concerning the employment relationship like for example remuneration devices, work evaluation devices and more largely human resources management. As for the organizational dimension, new organizational modes – like knowledge management – are expanding and procedures are enforced in order to make individuals more responsible and eventually to increase their autonomy. Normalisations concerning produces quality modify organizations functioning. Finally, evolution in Corporate Governance has non negligible effects on firm’s internal organization. How can these mutations be explained and what are their impacts on the nature of the firm? What are the most relevant theories to recount these evolutions? How can these new organizational forms long term viability be apprehended? How can employment law take these internal changes into account?

The theme’s diversity requires a pluridisciplinary approach. If the call for papers and the conference are in priority addressed to economists and management researchers, law researchers who work on the firm and its current mutations are also welcomed.

The communications can be written in French or in English. The best ones will be selected by a scientific committee. These communications will be part of a collective book.

The inaugural and closing lectures will be respectively done by Geoffrey Hodgson (University of Hertfordshire) and Nicolaï Foss (Copenhagen Business School).

The plenary sessions aiming at confronting the view points of economists, management and law researchers about the firm and its transformations will receive Alain Desreumeaux (University of Lille 1), Antoine Jeammaud (University of Lyon 2) and Stéphane Saussier (University of Paris 11) for the session of the 22nd of November, and François Eymard-Duvernay (University of Paris 10), Pierre-Yves Gomez (EM Lyon) and François Gaudu (University of Paris 1) for the session of the 23rd of November.

Deadline for paper proposals: the 15th of March 2007. The proposal should not exceed 2 pages, including (1) a short bibliography (5-10 references) and (2) precision about the main domain (economics, management or law) to which the proposal is related.
